Definition of regulation a

Regulation A are the provisions of the 1933 Act that contain the rules governing certain public offerings of no more than $5,000,000 which are exempt from registration. A Regulation A issue may require a shorter prospectus and carries lesser liability for directors and officers for misleading statements.
