Short-Swing Profit Recapture is a requirement, included in the 1934 Act, whereby officers, directors, and persons deemed to have beneficial ownership of ten percent or more of a class of a company's equity securities are required to turn over to the company any profits realized from sale of the company's stock held for less than six months.
